1. Acceptance of Terms
By accessing or using Meydan ('the Platform'), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform.
2. Description of Service
Meydan is a multi-tenant, city-based platform that connects diaspora and local communities. We provide a venue for users to create communities, post listings (buy, sell, rent, offer services, share knowledge), and connect with others. We act as a platform only — we do not verify the identity, quality, or legality of any listing, user, or transaction.
3. Business Directory
Meydan provides a directory where community members can list their businesses, products, and services. Meydan acts solely as a directory and does not employ, contract, endorse, certify, or guarantee any business or business owner listed on the Platform. All business activity, including pricing, payments, service quality, and disputes, is solely between the business owner and the customer. Business owners are responsible for complying with all applicable laws, licenses, permits, and tax obligations. Meydan does not process payments, hold funds, or take commissions on any transaction.
4. Eligibility
You must be at least 13 years of age to use Meydan. If you are under 18, you must have parental or guardian consent. You must have the legal capacity to enter into a binding agreement and must not be prohibited from using the Platform under applicable law.
5. User Accounts and Responsibilities
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information and to notify us of any unauthorized use. You may not share your account or allow others to access it.
6. User Conduct
You agree not to: (a) violate any law; (b) harass, abuse, threaten, or discriminate against others; (c) post false, misleading, or fraudulent content; (d) impersonate any person or entity; (e) infringe intellectual property rights; (f) spam, scrape, or use automated means to access the Platform; (g) interfere with the Platform's operation or security. We may remove content and suspend or terminate accounts for violations.
7. User-Generated Content
You retain ownership of content you post. By posting, you grant Meydan a non-exclusive, royalty-free, worldwide license to use, display, and distribute your content in connection with the Platform. We may remove or modify content that violates these Terms. We are not responsible for content posted by users.
8. Disclaimers
The Platform is provided 'as is' and 'as available' without warranties of any kind. We do not guarantee accuracy, completeness, or availability. For marketplace listings: Meydan does not verify the identity, quality, or legality of items or services. All transactions are between users. Communicate and transact at your own risk.
9. Limitation of Liability
To the maximum extent permitted by law, Meydan and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill. Our total liability shall not exceed the amount you paid us in the past 12 months, or one hundred US dollars ($100), whichever is greater.
10. Indemnification
You agree to indemnify and hold Meydan, its affiliates, and their officers, directors, employees, and agents harmless from any claims, damages, or expenses (including legal fees) arising from your use of the Platform, your content, or your violation of these Terms.
11. Termination
We may suspend or terminate your account at any time for violation of these Terms or for any other reason. You may close your account at any time. Upon termination, your right to use the Platform ceases. Sections that by their nature should survive (e.g., disclaimers, liability, indemnification) will survive termination.
12. Modifications
We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the 'Last updated' date. Continued use of the Platform after changes constitutes acceptance. If you do not agree, you must stop using the Platform.
13. Governing Law and Disputes
These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware. You agree to the personal jurisdiction of such courts.
